Healthcare Transactional Attorney
Location: Pine Brook, NJ, or New York City (World Trade Center)
Hybrid options acceptable.
Position Summary:
Firm X is seeking an experienced Transactional Attorney to join our team. The ideal
candidate will have significant experience advising healthcare clients on corporate and
transactional matters, including structuring, negotiating, and drafting agreements in a
highly regulated industry. This attorney will work closely with healthcare providers,
executives, and other stakeholders on a wide variety of transactions while also
providing regulatory guidance to ensure compliance with applicable state and federal
laws.
Key Responsibilities:
Represent healthcare providers in a wide range of corporate matters including
mergers, acquisitions, corporate dissolution, formation, and governance.
Handle all stages of sale and acquisition transactions of long-term care facilities,
such as, performing due diligence, drafting purchase agreements, and navigating
through healthcare regulatory requirements for completing a change of
ownership.
Draft employment and company policies that comply with federal and state
Medicaid rules and regulations.
Provide legal services for day-to-day regulatory and compliance requirements
issued by the New York State and/or New Jersey Department of Health, the
Office of the Medicaid Inspector General, and Centers for Medicare and Medicaid
Services.
Conduct legal research and draft Memorandum of Law on various issues relating
to healthcare regulations, including compliance with the federal Anti-Kickback
Statute.
Requirements:
Ten (10+) years of law firm experience
Corporate restructuring, including stock options, profits interest agreements, etc.
Juris Doctorate degree from well-regarded law school
Bar admissions in good standing – New York and/or New York
Personality where you can deal with clients (interpersonal relationship skills)
