Healthcare Transactional Attorney
Location: Pine Brook, NJ, or New York City (World Trade Center)
Hybrid options acceptable.
Position Summary:
We are seeking an experienced Transactional Attorney. The ideal candidate will have significant experience advising healthcare clients on corporate and transactional matters, including structuring, negotiating, and drafting agreements in a highly regulated industry. This attorney will work closely with healthcare providers,
executives, and other stakeholders on a wide variety of transactions while also
providing regulatory guidance to ensure compliance with applicable state and federal
laws.
Key Responsibilities:
- Represent healthcare providers in a wide range of corporate matters including mergers, acquisitions, corporate dissolution, formation, and governance.
- Handle all stages of sale and acquisition transactions of long-term care facilities, such as, performing due diligence, drafting purchase agreements, and navigating through healthcare regulatory requirements for completing a change of ownership.
- Draft employment and company policies that comply with federal and state
- Medicaid rules and regulations.
- Provide legal services for day-to-day regulatory and compliance requirements issued by the New York State and/or New Jersey Department of Health, the Office of the Medicaid Inspector General, and Centers for Medicare and Medicaid Services.
- Conduct legal research and draft Memorandum of Law on various issues relating to healthcare regulations, including compliance with the federal Anti-Kickback Statute.
Requirements:
- Ten (10+) years of law firm experience
- Corporate restructuring, including stock options, profits interest agreements, etc.
- Juris Doctorate degree from well-regarded law school
- Bar admissions in good standing – New York and/or New York
- Personality where you can deal with clients (interpersonal relationship skills)
